FREE TRIAL AGREEMENT

This document defines the rights and responsibilities of Buyers participating in the 7-day Free Trial Subscription offered by Depositphotos. By agreeing to this document, you confirm consent to and acceptance of its provisions on your own behalf or on behalf of the organization(s) which you represent that owns or manages the Subscription in question. In such instances where the Subscription is owned or managed by an organization, company, partnership, corporation or other legal entity, the user acknowledges and warrants that he/she has the required vested authority to conclude such agreements.

The Free Trial is a temporary Subscription provided to the user free of charge for the purposes of familiarizing themselves with the website and services of Depositphotos.com, hereinafter referred to as Depositphotos. The Free Trial is based on a Standard Subscription Plan with the only limitation being the length of the Subscription. Within the Free Trial, a user is given an opportunity to download up to five files a day for seven days for a total of 35 files. Use of the Free Trial is free of charge or obligation, and does not convey upon the User additional or extended responsibilities or limitations.

In order to get the Free Trial , the User should follow the steps below:

1. When registering your new Buyer account, choose "Yes, I wish to receive the 7-day Free Trial" and fill in the appropriate registration fields. Or, to activate the Free Trial at a later time, you can do so by clicking the Subscription link under the Buyer Menu at any time;
2. To activate your Free Trial, we require you to maintain a PayPal account linked to a valid credit card or with sufficient balance to cover at least one month's Subscription. Your Free Trial Subscription will be activated once the validity of your PayPal account has been confirmed.

Information on the Free Trial activation, expiration, download activity and more can be found in the Buyer Menu > Subscription, on the Subscription History tab.

By accepting the terms and conditions of this Agreement and by activating the Free Trial, you concede that, upon expiration of the 7-day period, the Free Trial Subscription will be automatically upgraded into one of our Standard Subscription Plans. The specific subscription plan upgrade is indicated on the Free Trial signup page, either during registration or through the Buyer Menu > Subscription pages. Once your Standard Subscription Plan is activated, the same Subscription rate will be automatically deducted from your linked PayPal or Visa account at the beginning of the new period of Subscription.

In the event you do not wish to upgrade your Free Trial to a Standard Subscription Plan, you have the option of canceling your Free Trial 24 hours before its expiration at no charge or obligation. If you do cancel, your Free Trial will be canceled as well.

Important information: Depositphotos will not issue any warnings of an impending upgrade by any means of communication (email, mail, phone, fax, etc.), nor can we be held liable for a missed subscription cancellation. It is up to you to keep track of your 7-day expiration period. PayPal and SegPay reserve the right to upgrade your account and begin charging for a Standard Subscription Plan as much as 24 hours before the expiration of your Free Trial period.

The Free Trial Subscription functions exactly the same as the Standard Subscription Plan, except that it expires on midnight of the seventh day. During the Free Trial you can download all JPEG sizes and vector files.

Files downloaded via the Free Trial are tendered for use in accordance with the Standard License.

Permitted Usage:

1. prints, posters and other reproductions for personal use, advertising and promotional applications, including printed files, product packaging, presentations, film and video presentations, commercials, catalogues, brochures, promotional greeting cards and promotional postcards (providing they are not for resale, license or other distribution);
2. print media applications, such as books and book covers, magazines, newspapers, editorials, newsletters, video broadcasts and theatrical displays;
3. on–line or electronic publications, including web pages (but only when the pixel density for such file is limited to 1024 x 768); or
4. any other uses approved in writing by Depositphotos.

If there is ever any doubt as to the permitted usage of a specific file, the Buyer should immediately contact Depositphotos Support Service for clarification.

Prohibited Usage:

1. Use of files or their elements within designs intended for sale including the design of templates for applications, sites, electronic postcards, business cards, booklets, etc., irrespective of the manner of their distribution and sale (including online);
2. Use of files or their parts on products for sale, such as t-shirts, cups, posters, etc., or in places designed for the sale or promotion of such products;
3. Use of files or their elements as a part of a trademark or trade sign (in full or in part), a company's name, a logo, or a product’s trade name;
4. Use of files for the creation of posters or other printed products intended for sale, resale, license or distribution by other means for the purpose of deriving profit;
5. Use of files in the manufacture of any products if such usage will result in the repeated and multiple use and distribution of the file (for example, used in the creation of web templates or web postcards) or otherwise will give third parties access to it, for their own use or to reproduce;
6. Use of files with purposes that can be considered by Depositphotos (within legal bounds) as indecent, detractive, criminal, amoral, libelous, etc., or purposes which could have a negative effect upon the reputation of the property or persons depicted in the file;
7. Use, show, or placement of files that:
   • Implies the endorsement or recommended use of products or services of a certain enterprise or trademark;
   • Displays a person/model in a potentially or actually abusive, indecent, or provocative aspect. These include files of social, sexual, religious and any other preferences, aspects of physical and mental health, preferences or abuse by drugs, nicotine, alcohol, etc.
8. Change, recompilation, or deletion of program code contained in the file;
9. Deletion of a mark indicating the ownership, right and copyright as well as allied rights regardless of their location, in or on the file;
10. License handover, transfer and distribution of the file relative to the rights prescribed by and provided within this Agreement;
11. Placement, installation, or usage of files in more than one place simultaneously, or providing access to the file through network resource to other users;
12. Use of files in such a way that allows the download, transmission, distribution, change or other similar means of file exchange, including but not limited to the use of portable storage devices;
13. Use of edited files without including in the file the following credit line: «©Depositphotos/An artist’s name»; or
14. File reproduction personally or together with third parties at a quantity exceeding 500,000 pieces without obtaining the appropriate Extended License. If such situation exists, the Buyer will be obligated to pay $0.01 as a compensation for each additional reproduced copy. This limitation does not apply to use of files within the limits of newspaper, magazine, Internet advertising, as well as broadcasting on TV and Internet and theatrical performance.

By signing this Agreement, the Buyer expresses consent and acceptance of the terms and conditions described in this Agreement, and agrees to be bound by the letter and spirit of the parameters and limitations set forth within this Agreement.

Lack of enforcement by Depositphotos of any provisions in this or affiliated Agreements will not and cannot be considered abandonment of any rights or terms and will not negate the enforcement of any other provision as determined by Depositphotos.

This Agreement is intended for the Buyer, and also extends to the Buyer’s executors, employers and legal representatives of the Buyer and cannot be passed to them without prior written consent by Depositphotos.

You can cancel your Free Trial at any time by logging into your account, visiting Buyer Menu > Subscription and selecting the Active account on the Subscription History tab. This will link to your PayPal or SegPay account, where you can cancel payment and end your subscription. You can also cancel by going to your PayPal or SegPay account directly.

IN ACCEPTING THIS AGREEMENT, THE BUYER ACKNOWLEDGES THAT THE BUYER HAS READ THIS AGREEMENT, UNDERSTANDS IT, AND HAD AN OPPORTUNITY TO SEEK INDEPENDENT LEGAL ADVICE PRIOR TO AGREEING TO IT. IN CONSIDERATION OF DEPOSITPHOTOS AGREEING TO PROVIDE THE CONTENT, BUYER AGREES TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. BUYER FURTHER AGREES THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN BUYER AND DEPOSITPHOTOS, WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATION BETWEEN BUYER AND DEPOSITPHOTOS RELATING TO THE SUBJECT OF THIS AGREEMENT.
